INTRODUCTION

Vietnam is becoming more and more advanced in order to step by step
integrate into the economy, society and culture, etc. In the context of international
integration, Vietnam has the opportunity to step by step develop its business, from
which businesses have the opportunity to expand their activities and grow. To
appealed for capital investment support in various business areas. But in many
aspects, it is not a simple matter, the problem posed to these businesses is how to
appeal investment in a safe way. Challenging the competition in the international
market is always the foreseeable problem, so the sensitivity, timing or volatility of
the market requires enterprise. As a result of such demand, investment promotion is
becoming increasingly important for every business. To view the matter in the most
objective way based on the context of the economy of the country, I selected the
company AVM Vietnam Joint Stock Company to find out the relevant areas, to
complete the task for the actual report. With a long history of being established for
nine years and operating for a long time, AVM has proved to the market that such
areas as: valuation, forum activities, calling for capital and, foreign partners
cooperation, etc.
During my internship time here, I also completed my knowledge of business,
investment, cooperation as well as translation of the transaction to have experience
and knowledge to complete this report.
However, the time to participate in this practice is only a short stage, the
ability of myself is not very much promoted, so this report has many errors and
limitations, I hope to be the teachers are trying their best to improve this report.
During the internship time at AVM Vietnam, I am very fortunate to have been
instructed by the teachers of English Faulty- Vietnam commercial University and
the great help of Mr.Dang Xuan Minh - General Director of AVM JSC as well as
everyone in the M&A forum so that I can finish this report in the best way.

1.1.2 History and development of AVM Vietnam JSC
a) Establishment stage

AVM Vietnam was established in October 2008, originally known as Avalue
Investment Joint Stock Company, with the objective of developing consultancy and
investment activities. In the first two years of operation in 2008 and 2009, the
company operates as a project board supporting for valuation activities and
commences investment promotion activities and investment services, as well as
study and set up conditions for training. In June 2009, the company held the
workshop “M&A Vietnam 2009 - Experience and Opportunity” at the Melia Hanoi
hotel, which is an important milestone in the company's development. This is the
first and largest professional workshop on Mergers and Acquisitions organized in
Vietnam, with the participation of the Ministry of Planning and Investment,
Investment Review, over 400 Guests are representatives of corporations, financial
institutions, investment funds, large financial companies at home and abroad.
b) Restructuring stage
As an active company involved in Mergers and Acquisitions promotion, the
company's key focus is also beginning a transfer deal. In 2010, after two years of
operation and facing the opportunities and challenges to develop, the Company has
conducted the restructuring and refinement of the founding shareholders in the
direction of gathering the most enthusiastic people for the development of the
company. Immediately after restructuring, AVM Vietnam decided to focus on
predefined objectives, with the policy of Consulting - Communication - Training is
the three main areas.

Main activities


The company's mission is to provide investment and management services that
help businesses create value and empower their businesses. When referring to AVM
Vietnam, we associate to professional organizations in business advisory services,
mergers and acquisitions, investment services, investor relations and investor relate
with financial institutions, Vietnamese and international enterprises, staffs with
knowledge of Vietnam market, well trained in and outside the country. The main
activities of AVM are: investment promotion, consulting and valuation. M&A Forum
in Vietnam is one of the most outstanding activities of the company in the field of
consultancy as well as communication. Up to now, the Forum has been held 13 times

with the participation of more than 1800 invited guests who are leaders of companies,
large organizations at home and abroad. The training activities were successfully
piloted and the company decided to establish the CMAC Training and Investment
Center.

attracted the participation of more than 500 senior executives from Vietnam and

AVM Vietnam training and buidlding capacity of company: AVM Vietnam
cooperated with IMAA International to establish CMAC Training and Investment
Center with the mission of training and improving the capacity of Vietnamese
enterprises. The company also successfully implemented strategic and M&A
training for nearly 500 senior executives of listed companies in Vietnam. In addition
to the international and Vietnamese faculty, combined with the knowledge of
Vietnamese business consultants is the driving force behind the company's growing
presence in the present and in the future.

This is a functional management model, quite popular and widely applied to
the joint stock companies in Vietnam and in accordance with specific characteristics

in the field of operation of AVM Vietnam. This model of operation can ensure
smooth operation and development of the company in the future. But the core staffs
of the company:

Dang Xuan Minh: Over 10 years of experience in finance, investment and

business development in Vietnam, founding AVM and M&A Vietnam Annual
Forum.
 Christopher Kummer: IMAA President, M&A Institute in Switzerland and
Austria, international expert on business strategy and M&A, advises on many M&A
deals in Europe.
 Viet Nguyen: Securities analysts, IPOs, valuers in Vietnam, masters in
finance and statistics in the United States.
1.1.5 Fields, activities, occupations of the company
AVM Vietnam Joint Stock Company is the holding company, capital
mobilization and regulator, participates in the establishment or acquisition of
member companies (see diagram below) through the management of the field
consultancy and core investment. Besides the AVM brand, the company has
established and owns the following member companies:
- The CMAC Training and Business Training Center was established by AVM
Vietnam in close collaboration with the Swiss-based Institute for Acquisition,
Merger and Acquisition (IMAA). With the aim of providing training courses,
sharing basic and advanced knowledge on "Investment, M&A and management" for
business leaders. CMAC is interested in the needs of your business to design
intensive, high quality and effective courses that are up-to-date with the current

practice in Vietnam and around the world on "Investment, M&A and Governance".
- BTC Value is a valuation company established by AVM Vietnam and
supported by IMAA and Kummerco, a Swiss-based M&A consultancy. BTC Value
fully meets the requirements of the Ministry of Finance and the International
Commission for Standardization of Valuation (IVSC).
In addition, the company also owns the Avall Management brand, which is the
M&A consultancy of the company and plans to invest in Thai Nguyen and set up
the Thai Nguyen Development and Consultancy Company.

1.2 General introduction about internships: M&A Vietnam Forum

AVM Vietnam supports the buyers and sellers in valuation and due diligence
by providing full range of M&A services from Mergers and Acquisitions. With a
team of excellent experts in the field of mergers, acquisitions and business
restructuring, knowledgeable in many fields and industries, the company always
gives the best services, bright ideas that to create and reasonable strategy.
In the spirit of respect, understanding the customer, development cooperation
to promote the strength of each party, the company always support the business
throughout the transaction to create maximum value and effective. Specifically, the
consultancy services that support AVM Vietnam's M&A activities include:
- Valuation of the company
- Connecting buyers and sellers
- Selecting, finding strategic partners and supporting the negotiation of joint
venture agreements
- Professional advice throughout the purchase process and restructuring
structure of the company.
M&A Forum Vietnam is the largest M&A Forum in Vietnam. Since 2009, the
Forum has been organized by Vietnam Investment Review and AVM Vietnam, with
support from the Ministry of Planning and Investment (MPI). For M&A Vietnam,
the main activity that is considered the core of the Forum is: document translation,
transaction, meeting foreign partners, international partnerships and preparation of
Forums for merger, acquisition and investment. The Forum provides opportunities
for entrepreneurs and investors from Vietnam and abroad to share their M&A
experiences and connect with successful transactions in Vietnam.
In recent years, in the period 2014 - 2018, M&A market in Vietnam started to
enter a new wave, recorded that is a second wave with a total value of M&A is

expected to reach $ 20 billion. Commitments of equitization of large SOEs; The rise
of private sector companies, the interest of foreign capital flows to investment
opportunities and M&A in Vietnam will be the driving force of this second wave.
The potential and the opportunity have been, the problem that everyone is waiting
for time in the second wave will reach a new peak, higher than the record set in
2012 is nearly

$5 billion. To gain success, It is impossible not to mention the organizers of
the Forum, the Investment Review and AVM Vietnam. The performance of M&A
Vietnam in recent years has always been a great success, not only with the popular
brand name in the country but also abroad, continuously cooperate and work
together famous brand. In 2016, the total value of M&A in Vietnam reached a
record $5.8 billion, the highest level ever and up 11.92% compared with 2015.
However, M&A activity from the second half of 2016 has been showing signs of
slowing down and fewer large-scale deals. In the first quarter of 2017, the total
value of M&A deals in Vietnam reached just $1.1 billion. Retail, consumer goods
and real estate are the focal points of the market in 2016. Investors from Singapore,
Thailand, Korea and Japan still play an important role in M & A activities in
Vietnam with significant and significant deals in 2016. The process of equitization
and divestment of SOEs in 2016 and the first 6 months of 2017 is still slowly in the
market. Challenges to M&A growth in Vietnam in 2017: The competition in
attracting foreign capital flows with countries in the region, obstacles from SOEs
equitization in Vietnam, quality of business and size of economy, etc.
M&A Vietnam 2017 Forum is attended by 500 delegates who are senior leaders

M&A Center, Kotra Korea; Mr.Danny Le - Senior Manager, Business Development
Division Masan Group, Vice President of Masan Nutri- Science, etc.
For internships that related to business English, the office of translation and
international co-operation is the English language department that accounts for 85%
of the workload.

1.2.1 Translation
Firstly, on the translation department: There are many years of experience in
the field of translation, with a team of translators committed to creating accurate
translations from more than 100 languages around the world. With fields such as:
Translation notary, translation of specialized documents into languages, translation
of financial documents, translation of marketing materials, translation of bidding
documents and projects, website translation, translation of insurance documents,
translation Draft Decree, translation project contract, ...
In order to ensure the accuracy of documents, customer documents, and
cooperation contracts with partners, the M&A Forum in Vietnam employs
translators and interpreters for at least 3 years, more experience, in addition to the
company must have background knowledge, extensive experience in the field of
translation.
With such a top quality, professional process, extensive project execution and
large investments, the Document Translation Office has consistently performed
numerous projects and has become a provider of translation services. Reliable,
reliable with organizations, businesses in the country as well.
1.2.2


Interpreting

The second, that is the interpreting sector, M&A Vietnam Forum is always the
top forum in the country with the largest number of foreign cooperation projects.
Therefore, contact to foreign partners is a regular task to do. M&A Vietnam has a
large number of interpreters with about 20 interpreters, including: English
interpreters make up 50% of the company's translators.

1.2.3

Workshops for foreign partners

Besides organizing large programs, M&A always calls for cooperation with
foreign companies. Workshops are held to strengthen relationships, and to tighten
cooperation. The foreign partners have a lot of experience in business, leadership,
direction for Vietnamese enterprises in general and M&A as well as AVM in
particular.

PART 2: INTRODUCE THE INTERNSHIP PROCESS AT THE COMPANY

2.1 Tasks to be carried out in the company
In the internship time at M&A Forum of AVM Vietnam, English language
trainees are provided with support for apprenticeship in the process of working,
organizing a forum, promotion Business Investment.
As an interpreter, trainees will always be trained from contract negotiation
skills to case management skills during translation. For each interpreter, the first
skill that needs to be reinforced is knowledge related to the conversation that the
two parties are talking about. Examples: Discussions on investing capital in the
securities market, the interpreter must first understand the terms related to
securities, business, know the basic knowledge base rules on that field can be
understood and transmitted smoothly. The second skill, an interpreter must cultivate
that is the ability to handle situations. In the process of translation, conversation, it
is impossible to avoid exaggerated situations. In such a situation, the interpreter is
forced to think objective view, mastered the psychology to handle the situation in
the best way.
In translation, the translation team consists of 20 translators with a workload
of 20 translations per day, including many languages (50% of which is English).
Trainees will be oriented to different areas, including: culture, society, business,... for
each profession, there will be other specialities, the translator must be knowledgeable
about each field so that when receiving any documents can also handle the financial.
It is easy and effective. The translator does not only require a good voice and
appearance but the translator always demands high writing ability and knowledge.
When practicing in documents or contract documents, the translator always directs
the writing - style, the style to convey the content through the page well. During the
internship time, the trainees are familiarized with various types of documents and

materials, and more specialized, contract, strategic, etc. The trainees start the
translation process with many different softwares such as: Trados, etc. When the
training is completed, the documents will be reviewed by trainer, edit, write errors,
from this experience for the next translation.

The process of developing a foreign partner workshop: On average, there will be
a workshop of 300 participants, not to mention monthly seminars on a smaller scale.
When participating in organizing activities, conferences, seminars with foreign
partners, foreign companies, trainees will be able to meet only when they are
supervised and guided. We are trained through instructional processes such as:
Supporting foreign partners during they stay in Vietnam, supporting the same
departments to develop event planning, communication and marketing plans for the
project. In addition to being exposed to a lot of foreign partners, increased
communication ability to use language for trainees. In addition, the company provides
students with access to the most flexible working environment. We read about the
company's programs, courses and seminars held by the company, and cooperate to
organize.
2.2 Difficulties and experience
I am a trainee in business English, was equipped with the knowledge of skills,
and cultivate the experience of trainer during the internship time here. However, it
is impossible to avoid the shortcomings experienced during the practice process.
The first is that there are shortcomings of oneself when experiencing difficulties,
but not enough skills as well as psychology to deal with situations. On the other
hand I learned more about the experience for myself and applied to the work
process later.
2.2.1 Difficulties

Although we have acquired knowledge of various fields in business,

culture, society, etc. During our studies at the university, we are ourselves students
of the Department of Business English. So, in other aspect, we are limited in the
level of economic business, so that there are materials on procurement, negotiation
strategies, or decrees on social and cultural policy, etc. The students are quite
strange and have not learned much.
- We are equipped with skills when writing articles, translating many
different topics, but when embarking on the practice of mistakes, shortcomings,
sentences are not polished, not smooth, making reviewer have problems and
errors and fix many bugs.
- We participate in meetings and support sessions for international partner

workshops. Although the training was quite thorough knowledge of memorization
skills fast, but still have difficulty recording the meeting, scientifically report.
- When we practice in welcoming guests and foreign partners, trainees are
still quite confused about the service skills due to the different cultures of the
countries and their communication standards.
- For translators, trainees have not enough psychology to stand before the
big conference, the speech is not smooth, the voice is not trained. In addition, it is
important to have the knowledge of many different areas but not yet have a
comprehensive view of these fields.
2.2.2 Experience for trainees
Experiencing internship time at the company, trainees are guided by those who
have extensive experience and expertise in the field of translation, interpreting,…
related to English majors. We have learned a lot of technical skills, besides the
difficulties we will have lessons to learn more to improve ourselves.

In the early stages of the internship time, trainees are equipped with

knowledge of the profession, skills and services: culture of the office, skills to deal
with colleagues, customers, and business partners, etc. Understanding of office
dress, professional working style.
- We learn team- building skills, plan proper logs, plan work for ourselves
and work on time. We also learned how to set goals for ourselves to achieve our
goals.

When interpreting, attending seminars or conversations, the interpreter

must be able to refine his or her voice, impressed by clean neat and professional
working style. In addition, the knowledge of specializations must always be
understood. Each time, preparing to attend a seminar is a trainee is equipped with
more knowledge, a lot more knowledge. From there, we learned how to find our
own knowledge and build our knowledge.
- We learned the negotiation and negotiation process with foreign partners,
mail using skills and persuasive skills.
- We learn more skills in grasping situations and grasp more works.
Although not yet known as a professional we have mastered the process and basic
skills.
PART 3: STATUS OF USING ENGLISH AT THE COMPANY

We all know that: English has become a global language. Between the tens

and hundreds of different languages, the world has chosen English as a means for

people to understand each other. English is the official language of more than 53
countries and territories, the official language of the EU and the third most used
language in the Chinese and Spanish languages. International events such as the
Olympics, global organizations, multinational corporations,… also see English as a
common language of communication. We recognize that the importance of English
in all fields of economics, culture, society, etc.
As a company operating in the field of regular cooperation with foreign
partners such as M&A Forum of AVM Vietnam JSC, this field has to work with
different languages daily, including English. English is one of the languages related
to the main job of the company. Specifically, translation, interpreting or foreign
seminars. The team of translators - English interpreters are all staff, professional
collaborators, enthusiastic, experienced. In daily transaction, English is also widely
used in M&A and AVM, mainly dealing with foreign clients. These transactions are
mainly related to contracts, project seminars, high-level training programs, call for
capital investments and international negotiations. English proficiency of the staff
performing in the transaction is very highly. Before being recruited into the
company, the employees must check the English proficiency due to the
characteristics of the company mainly working with foreign partners.
3.1 Describe the states about using of English at the company
3.1.1 Advantages:



Young, dynamic, professional staffs, enthusiastic and professional staffs.
Clearly development orientation, suitable with the development

orientation of the high-level forum.
 Building a culture for the company, professional and cultural for the office
environment.
 The training and professional training of staff is always cared and created

maximum conditions by the company leaders, often having professional training
sessions.
 English is widely used in the company, in the environment of colleagues,
and there is always a high demand for skills and specialized knowledge, so the
staffs always try and learn more skills.
 The ability level of staff is quite good. When applied to the company, the

staff is tested as well as qualifications in English as: Toeic, Ielts, international
certificates, etc.
3.1.2 Limitations:


The company focuses on the main areas of M&A Vietnam such as:

Translators, interpreters,… for the seminars and programs of mergers and
acquisitions business, so not yet fully exploit the potential of employees.
 Although there are many training sessions on skills for staff but it has not
yet specialized and professional.
 Most of the technology engineers and administrative office staff are only
able to read and understand English, not really good in communication and writing
email, transaction contracts.
 Collaborators are not directly employed by the company, but only through
email. The level of the collaborators is mainly assessed through the initial test, so it
is difficult to assess their true ability.
3.2 Suggestions for research and solutions



Language resources in the world are always abundant, requiring constant

and constant updates. It takes time and quality human resources.
 Having more training courses and professional skills for employees can be
monthly or quarterly. Training courses should be appropriate for each employee to
improve their skills.
 Improve the English proficiency of the company’s employees by cooperating with quality and reputable centers. Opening regular quizzes by the month,
quarterly to grade level.
 In the case of a collaborator system, it is advisable to develop a database
that is up-to-date and has a working contract to ensure that people meet the job
when there is an urgent project. When recruiting collaborators must check the
accuracy, can check the interview directly.
 In order to achieve optimum sales and improve work efficiency, the
company should invest, upgrade, renovate and replace the system of facilities and
equipment at the office to facilitate the company to create good conditions for jobs
of employees in the company.
 To ensure safety when dealing with customers, the company should have
specific contracts, and clearly.

To avoid bad debt. If in the worst case, it is that the customer refuses to

pay, the company should warn the petitioner and resolve it appropriately, in order to
create a relationship with the customer later.

PART 4: PROPOSING TOPIC FOR GRADUATION PAPER
Through the internship process at AVM Vietnam Joint Stock Company, in the
Vietnam M&A Forum. I was familiar with the works of the department such as:
Translation, interpreting, transaction with foreign partner, etc. I have been learning
skills, observing and monitoring, assessing how to people work in the company. I
have realized that: Almost everyone who has basic knowledge of English includes:
vocabulary, structure and grammar, etc. However, I have realized that: the speaking
ability of the staffs is not good. In particular, I was most interested in interpreting.
There are a number of experienced translators, interpreters who have been worked
in workshops, seminars, or simply contract negotiation. But there are many
difficulties they encountered as well as the handling of the situation is not flexible.
We know that: Interpretation is very difficult, it requires knowledge, skills,
level of sensitivity, flexibility when handling situations and deal to that. The level of
success of a seminar like that depends on the interpreters. Through that situation, I
see that: The difficulty that interpreters encounter in the negotiations, that is a
matter that students of English Faculty need to take care. To find out the problem
and have solutions to this problem, I want to make a proposal for the next topic of
Graduation Paper: “Barriers and difficulties that interpreters may encounter in
workshops, seminars and discussions.”
I hope that: this topic is going to be supported and helped by the teachers of
English Faulty- Vietnam Commercial University to I can finish internship report
and this Graduation Paper.

CONCLUSION
We know that: internship is a part of the training process that involves learning
with practice, reasoning with practice, helping students become acquainted with and

enhancing practical skills and professional skills in the profession. So I always
recognize the importance of the internship process in order to apply the knowledge
learned in the school, apply to the practice of business activities. During my time
practicing at AVM Vietnam, I had the opportunities to creatively apply my
knowledge and skills to the school.
In the internship process at AVM, through our training sessions, professional
lessons, skills learning, and self-improvement, I am guided and familiarized with
the English language fields, such as: translating, interpreting, meeting foreign
partners, organizing seminars. I have not been officially in the key staffs of these
events, but I have been studied from the professional, skilled, high technology to
direct the training and training in the mostly.
This report is a reflection of the insights learned and applied theory into
practice, as well as the using of skills, expertise and insights to complete tasks and
reports by the best way. I hope that: with my own efforts, along with my
suggestions can help company in resolving the remaining limitations.
Once again I would like to thank the teachers of the Faculty of English Comercial University with the enthusiastic guidance of Mr.Dang Xuan Minh General Director of AVM Vietnam and all people in the Vietnam M&A Forum has
helped me complete the internship process, internship report in the best way.
