7. PACKING AND MARKING
Types of packing: bag, gunny bag túi vải dày đựng tiền, paper bag, bale, barrel thùng dầu, box, case,
wooden case (kiện gỗ), plywood case (gỗ dán), double case (thùng 2 lớp), fiberboard case (kiện gỗ
ép), carboy (bình thủy tinh), corrugated carton (thùng cát tơng lướt sóng), container, drum (thùng

phi), package, roll, sack (bao tải), tin (thùng hộp thiếc).

To be packed in export cusotmary wooden crates of 10 boxes each mỗi thùng có 10 hộp.


These Goods shall be packed in bags of 50kgs net each, and then the Goods shall be sturffed in container

8. WARRANTY
All equipment and acccessories under the Seller’s scope of responsibility shall be within 12 months
warranty by the Manufacturer from the date of Final Acceptance Report biên bản bàn giao hàng, but not
exceeding 14 months from the date of Bill of Lading tính từ ngày ghi trên trên vận đơn. For consumable
items hàng hóa tiêu hao, components and spare parts các bộ phận thay thế, Manufacturer’s warranty

During the warranty period, the Seller is responsible for technical support to help the Buyer in solving
technical problems if the Goods show any defects. The first line of technical support shall be by telephone
and/or email.
Trong quá trình bảo hành, người bán có trách nhiệm hỗ trợ kỹ thuật cho người mua để xử lý những hàng
bị hỏng. Kênh hỗ trợ kỹ thuật đầu tiên sẽ là qua điện thoại hoặc email.

9. INSPECTION
Inspection Report issued by SGS/ or Independent Surveyor at Loading Port is required. Inspection fee
before loading is on the Seller’s account.

giám định trước khi bốc hàng do người Bán chịu trách nhiệm.

10. FORCE MAJEURE

The Force Majeure clause of the International Chamber of Commerce (ICC publication No: ---) is hereby
incorrporated in this contract. Either party shall, within 24 hours, give notice to the other party of any
Force Majeure event affecting its obligation under this Contract along with documentary evidence issued
by the Chamber of Commerce at the place where the incidence occurred or by the competent authority
connected with the cause.


Should the effect of Force Majeure continue for more than 30 consecutive days, both parties have a right
to cancel this Contract.
11. CLAIM
In case of non-conformity of the quality of the products actually delivered by the Seller with the Contract
specifications, any claim concerning the quality of the goods shall be presented to the Seller within three
months from the date of delivery. No claims shall be accepted by the Seller party after expiry of the above
period.
Trong trường hợp chất lượng của sp được giao bởi người bán không giống như quy cách phẩm chất quy
định trong hợp đồng. Bất cứ khiếu nại nào về chất lượng của hàng hóa sẽ được gửi tới ng bán trong vòng
3 tháng kể từ ngày giao hàng. Người bán sẽ không chấp nhận bất cứ khiếu nại nào sau thời gian trên.

concerning this Contract, the case shall be transferred to the Singapore International Arbitration Center

Trong TH xảy ra tranh chấp và nếu các bên trong hợp đồng khơng thể giải quyết một cách có thiện chí bất
cứ khiếu nại nào liên quan tới hợp đồng này, sự vụ này sẽ được chuyển tới Trung tâm trọng tài quốc tế
tuân theo luật pháp của Singapore theo quy tắc trọng tài của ICC. Phán quyết của trọng tài là chung thẩm.
Tồn bộ chi phí trọng tài sẽ do bên thua kiện chi trả.

This Contract comes into effect since the date of signing and both parties undertake to execute strictly all

8. In case of delay payment, the Buyer shall remit to the Seller interest calculated from the date of

Trong TH chậm thanh toán, người mua phải chuyển cho người bán tiền lãi tính từ ngày xuất trình
chứng từ cho ngân hàng tới ngày thực nhận (effective receipt) khoản tiền ấy (due amount – đúng
khoản tiền đó). Lãi suất sẽ được tính theo lãi suất liên ngân hàng London cộng 1%.
