Your optimization plan will be customized based on the unique opportunities we
identify for your business, with the overriding goal of increasing qualified traffic and
visitors and converting them to leads, calls, and sales. Unlike other companies who
do the same thing every month, each month we adapt your strategy so we can
dedicate our time to the highest yielding activities. We commit to do all the things
listed in this proposal, plus much more.
Our objective is to successfully place your website within the top 1-3 positions for
your most of your keywords on all major search engines within 3-9 months of project
initiation. For less competitive keywords results can be achieved in as little as 30
days. For the most competitive keywords it may take up to 6-12 months to get solid
long term results in the top positions of the Search Engines. New keywords will be

rankings, it's important to retest this monthly to ensure that all links on the site work

Monthly we will test your website rankings and analyze your website to see how to
improve rankings for specific keywords using onsite SEO.

Google Analytics, a free service, will be set up and configured so that you can login
and monitor your website activity. Google Analytics reports will be emailed to you
monthly or bi-weekly depending on your specific requirements.
Google Analytics provides critical information regarding the number website visitors,
the bounce and conversion rates, percentage of time spent on specific site areas and
other valuable information. This data is used to discover unique visitor needs and

then adjust the site accordingly to maximize conversions.

TERMS OF AGREEMENT
This Agreement (the “Agreement”) is entered into on the “Date Signed” between Web
Marketing Pros, (“Company”) and the party set forth in the related Proposal hereto (“Client”).
In consideration of the mutual covenants set forth in this Agreement, Client and Company
hereby agree as follows:
1. SERVICES. Company will provide Client with Search Engine Optimization (“SEO”) Services
and Website Design Services as described in the Proposal (the “Services”). The Services are
intended to provide the Client with preferential positioning in selected search engines and
report results on an ongoing and timely basis. The SEO Services include but are not limited to:
Researching keywords and phrases to select appropriate, relevant search terms.
Obtaining “back links” from other related websites and directories to generate link
popularity and traffic.
Editing and/or optimization of text for various html tags, meta data, page titles, and
page text as necessary.
Recommending, as required, additional web pages, web sites, or content for the
purpose of “catching” keyword searches.
Analysis and recommendations on optimal website structure, navigation, code, etc. for
best SEO purposes.
Creating positional reports showing rankings in the major search engines.

TERM AND TERMINATION. The initial term of this Agreement is 3 months from the Date
Signed. Following the initial term the agreement will continue on a month-to-month term until
terminated. This Agreement may be terminated by Company (i) immediately if Client fails to
pay any fees hereunder; or (ii) if Client fails to cooperate with Company or hinders Company’s
ability to provide the SEO Services hereunder. (iii) With 30 days written notice after the initial
term is fulfilled.
FEES. The fee for the SEO Services is indicated in the Payment Terms. First Month Charges
are due immediately upon signature of Agreement. Following monthly charges, as indicated,
are auto-billed on a 30 day billing cycle as per the signature date of this Agreement. Fees are
in USD and are to be paid monthly. All fees and expenses are payable at the time of signature
and are reoccurring on a monthly schedule. Fees for services are non-refundable. Any amount
not paid pursuant to the terms of this Agreement shall accrue interest at the rate of one
percent (1%) per month (twelve percent (12%) per annum) on the remaining amount
required to be paid, such interest to accrue on a daily basis from the payable date until the
remaining amount is paid. Company has the right to remove any SEO Services under
Company’s control until payment is paid in full.
CLIENT RESPONSIBILITIES. Client agrees to cooperate with Company and provide the
access, resources, materials, personnel, information, and consents that Company may require
to perform the SEO services and comply with its obligations related to the SEO Services. Client
hereby agrees to provide Company with the following:
Administrative/backend access to the website for analysis of content and structure.
Authorization to use its pictures, logos, trademarks, web site images, pamphlets,
content, etc., for any use as deemed necessary by Company for search engine
optimization purposes.
Access to hardware, software, services, hosting, ftp or other resources deemed
necessary by Company to fulfill its obligations under this Agreement.
If Client will not be granting website access, the Company will provide Client with the
recommended on-site changes and it will be the Client's responsibility to make these
changes. The Company will provide reasonable assistance for the implementation of
the recommended on-site changes.

CLIENT ACKNOWLEDGEMENTS. Client acknowledges the following with respect to the SEO
Services:
Company accepts no responsibility for policies of third-party search engines, directories or
other web sites that Company may submit to with respect to the classification or type of
content it accepts.
Company does not guarantee #1 positioning, consistent positioning, “top 10 positions” or
guaranteed placement for any particular keyword, phrase or search term.
Client acknowledges that SEO and submissions to search engines and directories can take an
indefinite amount of time for inclusion and that listings may be dropped for no apparent or
predictable reason.
Client acknowledges that any of the search engines, directories or other resources may block,
prevent or otherwise stop accepting submissions for an indefinite period of time.
Company reserves the exclusive right to approve or disapprove any design strategies, existing
code or other techniques that are considered by Company to be detrimental to SEO and the
execution of the SEO Services.
Company is not responsible for changes made to Client’s website(s) by other parties that
adversely affect the search engine or directory rankings of Client’s website(s). The Client will
be charged an additional fee for re-constructing content, based on the hourly rate of $45 per
hour.
ENTIRE AGREEMENT. This Agreement contains the entire Agreement between the parties
relating to the subject matter hereof and supersedes all prior agreements or understandings,

written or oral, between the parties related to the subject matter hereof. No modification of
this Agreement shall be valid unless made in writing and signed by both parties hereto.
GOVERNING LAW. This Agreement shall be governed in accordance with the laws of the
State of Florida.
INDEMNIFICATION. Client warrants that everything it provides Company to employ in SEO
is legally owned or licensed to Client. Client agrees to indemnify, defend and hold Company
harmless from and against any damages, liabilities, losses, taxes, fines, penalties, costs, and
expenses (including, without limitation, reasonable fees of counsel) of any kind or nature
whatsoever (whether or not arising out of third party claims and including all amounts paid in
investigation, defense or settlement of the foregoing) which may be sustained or suffered by
any of them arising out of or based upon: (a) any matter related to Client’s website or arising
out of the operation of the SEO Services (b) any failure by Client to provide necessary items
listed under the Client Acknowledgements section of this Agreement.
WAIVER. No waiver by either party of any default shall be deemed as a waiver of prior or
subsequent default of the same or other provisions of this Agreement.
INDEPENDENT CONTRACTOR. Company, in rendering performance under this Agreement,
shall be deemed an independent contractor and nothing contained herein shall constitute this
arrangement to be employment or a partnership.
ASSIGNABILITY; AGREEMENT BINDING ON SUCCESSORS. Client has no right to assign,
sell, modify or otherwise alter this Agreement, except upon the express written advance
approval of Company, which consent can be withheld for any reason. The provisions of the
Agreement shall be binding upon and shall inure to the benefit of the parties hereto, their
heirs, administrators, successors and assigns.
Each party represents and warrants that, on the date first written above, that they are
authorized to enter into this Agreement in entirety and duly bind their respective principals by
their signature on the front side of this document.
