The two parties have agreed to sign the Car rental contract with the following terms and
conditions:

The above rate includes gasoline, driver’s salary and accommodation, legal insurance fees;
The above rate excluded bridge toll, ferry boat, road parking fees, highway fees, entry
tickets at airport and VAT;

If Holiday falls in Sunday, that day will be considered as a Holiday and the following

Monday will be considered as Sunday;
The above rate based on fuel price at the time of RON95-IV: 21,710 VND per liter. In case of
where the price of gasoline had big changed (10%), the rental fees will be adjusted
accordingly. The above mentioned hiring price may be adjusted and modified as mutual
agreement of both parties.

Article 3: Period of rental

From 5th June 2018 to 5th June 2019.

Article 4: Term of Payment

Every month Party A sends the timesheets and other related documents to Party B for
checking. When the two parties agree on the corrected amount Party A will issue invoice
based on the agreed timesheet. Party B will make payment within 10 working days from
the receipt of invoice from Party A.

Article 5: Insurance

Party A shall maintain insurance for the car and passenger in this car. In case of accident,
Party B will receive the compensation according to the terms and conditions indicated in
the insurance policy.
Party A will provide one copy of insurance policy to Party B for reference.

Article 6: Rights and Obligations of Party A

To provide the type of car as mentioned in the Article 1, with the driver who has mobile
phone, can speak English, be able to work 24/24, polite and thoughtful.
To make sure the car and the driver to be always on time as requested by Part B and to be
operated at the order of Party B, provided that the order is not illegal.
In case of change of driver or car, Party A should inform Party B in advance.
To be responsible for all legal documents or formalities for transportation of the above
mentioned vehicle.
To be responsible for the technical condition of the vehicle, perform necessary maintenance
to ensure the car is always under the expected performance.
During the valid term of this Contract, should be the above car is under maintenance,
breakdown or has accident, Party A shall replace the above car with an alternative car of
the same standard and condition, to ensure Party B’s schedule are guaranteed. If Party B
has to use another mode of transport provided by third party due to the failure of Party A,
Party A shall pay Party B the actual losses/costs caused by the occurrence.

To receive in full payment from Party B according to the clause indicated in Article 2 and
Article 4.
To change the driver if the driver does not meet the Party B’s requirement and requested by
Party B.
In case of change of driver or car in short time (less than one week), Party A should inform
Party B in advance by email. In case driver is changed by Party A more than twice per year
without Party B’s request (not included force majeure case- force majeure cases are defined
as long-term illness of driver), the monthly rental will decrease by 5%.

Article 7: Rights and Obligations of Party B

Not to bring any illegal, flammable and explosive materials in the vehicle.
To pay the car rental fee on the time in accordance with Article 2 and Article 4. Otherwise,
Party B will be charged the interest with 0.03 percent/day for the total outstanding
amount.

Article 8: Termination of the Contract

This Contract shall take from 5th June 2018 to the end of period as mentioned in Article 3. In
the event that Party B would like to terminate the contract at his sole decision, a written

notice should be forwarded to the Party B with minimum 30 days notice given.
All changes of articles in the contract shall be noticed and confirmed in written documents
with the directors’s signatures of the two parties.
All disputes (if any) shall be settled by bilateral negotiations. If the two parties can not
reach an agreement within 30 days since the date the disputes arise, the disputes shall be
submitted to the municipal Court of Hai Phong. The Court’s decision shall be complied by
the two parties. The party who fails in the suit shall be responsible for the court charge.
This Contract is preprared in two (02) original sets in English. Each party keep one (01)
original set for implement.
