1.2.

The process of establishment and development of Tan An company
Tan An Co., Ltd was established on 25/03/1995. In the early days of

establishment, though the company encountered much difficulty, its leader and
working staff, with the motto “cooperation-development”, expressed determination
to quickly make Tan An Co., Ltd become a powerful company.
The work of Tan An company is to import raw materials of chemicals,
metallurgical materials, machines and equipments to serve for the domestic
industry. Now, Tan An Co., Ltd is known as the most prestigious importing and
installing company of small hydropower equipments in Vietnam market, and the
company is highly appreciated and trusted by its partners. Besides, Tan An Co., Ltd
also boosts to export the handicraft items to many countries around the world like
the USA, Britain, Japan, China and Canada. Together with import-export business,
the company also focuses on investing in production, because production is
fundamental for the company to develop stably.
In 2004, Tan An Co., Ltd started building a group of small hydroelectric
power plants in Van Ban district of Lao Cai province. In 2008, three small
hydroelectric power plants went into operation and activities in accordance with the
designed capacity to synchronize into the national grid.
In 2008, the company has a joint venture with the Vietnam Forestry
Corporation to build the MDF wood processing factory with a capacity of 54
thousand tons per year in Yen Thuy district of Hoa Binh province. As expected, the
plant will go into operation at the middle of 2011.
In 2009, the company has a joint venture with a China partner to build the
Feromangan (FeMn) producing factory with a capacity of 100 thousand tons per

year which is considered as the largest factory in Vietnam now. Factorys products
are exported 90% to the USA, Japan, Germany and so on.
Since the days of establishment until now, Tan An Co., Ltd has continually
developed and strengthened. We are appreciated a very prestigious partner in
Vietnam as well as on the world. We would like to co-operate all the nationwide
companies as well as oversea companies to develop together.
1.3.

The business field and production activities of the company

1.3.1. Imports of chemicals and natural wood
After 20 years of growth and development, Tan An company has become the
prestige importer and distributor in many areas, including the import of chemicals
and natural wood.
Tan An Co., Ltd. has been widely knowns as a supplier of chemical products
and materials used in industries such as: Paints, Glue, Ink, Plastic, Textile dyes,
cosmetics , Pharmaceutical ... Currently Tan An Co., Ltd. is the importer and
provided chemical with many factories, production facilities across the country
including Prime Group,Miwon company, Ha Bac - nitrogenous fertilizer company ,
national reserve departments,...
The quality of goods of Tan An Co., Ltd. has been guaranteed the right
quality standards of the manufacturer. The company is willing to provide technical
documentation and advice to customers.
Tan An Co., Ltd has supported wood for raw material to the domestic
enterprises since 2008.
They have also established good relationship with prestigious wood
producing enterprise in different countries on the world such as:

- South Africa: Lim - Eucalyptus – pine tree.

- South Pacific: Price refugee - Eucalyptus - White Teak - Tram treeMahogany - Malas.
- Europe - USA - Canada: Oak - Beech - Poplar.
- South America: Price refugee - Eucalyptus – pine tree.
- Laos Wood: aloes wood – Barian dalbergia - Cam xe tree - Trac tree – Gu
tree.
With the test at the mining area of enthusiastic and trust specialists of Tan
An Co., Ltd, sawing or drying timber materials have been tested and have been
granted options to best quality in line with the market before being taken back to
Vietnam.
1.3.2. Exports of handicrafts
Founded in 1995, Tan An is the leading Handicraft company in Viet Nam.
With more than 10 years of experience, they are proud to say that Tan An is always
a pioneer in the field of handicraft.
In 2005, Tan An Co., Ltd collaborated with craftmen from traditional
villagers to regenerate and improve the old occupations ; expanded the product
distribution of Vietnamese traditional handicrafts into foreign market in order to
broadcast for the specific tradition of Vietnamese culture. They also makes some
more jobs and increasing incomes for people in traditional villages. Recentle, Tan
An Co., Ltd has succeed in setting up manufacture areas and store systems in three
of the large traditional villages in Vietnam.

1.3.3. Provides instrumentation and accreditation
Tan An Co., Ltd. provides integrated system of scientific and technological
equipment. Systems corporate clients include:
- System Standardization, Metrology and Quality Vietnam: Vietnam
Metrology Institute, the Technical Centre for Standards and Quality, the Department
of Science and Technology, ...
- The factories of industries such as cement, thermal power, hydropower,
nitrogen, ...
The list of products to be supplied:
- Measuring instruments, pressure calibration. Tan An Co., Ltd. is the
exclusive representative of the firm Budenberg in Vietnam
- Equipment for measurement, calibration temperature - humidity. Tan An
Co., Ltd. is the exclusive representative of the company Wika, ThunderScientific in
Vietnam
- Measuring equipment, energy audit. Tan An Co., Ltd. is the exclusive
representative of the company Kimo in Vietnam .

1.3.4. MDF Tan An – Vinafor Hoa Binh
MDF Tan An - Vinafor Hoa Binh wood production factory started its
construction in 2009, and is expected to run at full capacity in 2011.
The factory has advanced MDF production technology directly imported and
supervised installation by the company.
Capacity: 54.000m3 per year.

Main products of the company is MDF man-made fiber plywood with the
thickness from 8 ÷ 25mm. The lengths of 1.830mm, the width of 1.220mm are very
convenient in the construction, interior and exterior decoration to the building. As
the main material for furniture production, MDF wood is very convenient to
processing work of window frame, door frame and other household products.(See
detailed specifications of the product). MDF products of Tan An - Vinafor Hoa
Binh achieve export standards.
Raw materials for production are mainly plantation timber (pine, acacia,
eucalyptus, melaleuca).
Labour: 190 people including engineers, universities, colleges, secondary
and technical workers from grade 3 to grade 7.
1.3.5. Building Phu Mau Hydropower construction
In the end of 2004, Tan An Co., Ltd started building Phu Mau group of small
hydroelectric power plants at Phu Mau hamlet, Liem Phu commune, Van Ban
district, Lao Cai province, Vietnam. On February 2009, the company officially
inaugurate Phu Mau group of hydroelectric power plants.
Phu Mau group of hydroelectric power plants comprise 3 plants with
capacity of 5.6 MW. Annual power yield is 21-22 million Kwh per year.

In 2009, the company has also set up a project to build Yen Ha hydroelectric

power plant at Phu Mau hamlet, Liem Phu Commune, Van Ban district, Lao Cai,
Vietnam, and construction is expected in 2011.

1.3.6. Manufacturing Carbon, Ferro, Crom
In 1998, Tan An Co., Ltd has built a production factory of High Ferro
Chrome Carbon in Ninh Binh to supply the nationwide market and completely
replace import of such goods from abroad.
In 2008, they have joint venture with Chinese partner to build a production
factory of Ferro Manganese with output of 30,000 tons per year and 90% products
are exported.
The factory now has 2 mineral-heated furnaces with the capacity of
6300KVA, at the end of 2010, they invested to build 2 new mineral-heated furnaces
and 1refined furnace, production will reach at least 100,000 tons per year.
The factory has powerful technical force, advanced production technology,
scientific management, and standard quality products are especially good.
Management team, as well as engineering, manufacturing and working staff have
much experience.

1.4.2. Functions and duties of the departments
Managing Director: is the head of the company, have absolute discretion in
all aspects of company operations. The main functions and tasks of the director:
- Seek opportunities to invest in new industries.

- Managing daily business operations of the Company.
- Issuance of internal regulations on the management of the Company.
- Appointment and dismissal of managerial positions in the Company, except
for those under the jurisdiction of the council members.
- Signing the contract on behalf of the Company, except in cases falling
under the jurisdiction of the president of the Council members.
- To submit final financial reports annually to the Council members.
Accounting Chamber: managing financial matters of the company, the
problem of income and expenditure for production and business activities of the
Company, paid salary to officials and employees of the Company. Functions and
main tasks:
- Implementation of the work on financial accounting in accordance with the
provisions of the State on the standards and accounting principles.
- Ensure the availability of expense for production and business activities.
- Withdrawal of funds quickly, avoid capital appropriation.
- Manage financial operations in the company.
- Financial planning on a monthly, quarterly and yearly; periodically report
to the directors about the financial situation of the Company.
- Monitoring the implementation of financial plans that already approved.

- Relationships with banks, credit institutions in operating loans and foreign
currency rotation.
- Preparation and evaluation of financial statements in accordance with law
and the charter of the Company.
Import and Export Department: responsible for business with foreign
partners, imports of raw timber to serve import business, import of chemicals and
raw materials for the company to use as well as production to sold abroad. In
addition, import-export department also specializes in producing handicraft items to

sold abroad, specializing in the evaluation of scientific and technological equipment
to sold for the central measurement.
General Business Department: in charge of purchasing and selling to local
businesses. Developing strategies and tactics of the company to better meet
consumer needs, creating advantages over competitors, market development.
Functions and main tasks of business manager:

Operating any business activity.
Take responsibility and split these objectives, strategies and business

plans.
Develop business strategies, short-term and long-term planning, identify
key indicators of sales, profits, dividing the implementation plan monthly,

quarterly for objects.
Encourage employees to work, organized and assigned to perform

Evaluate results of implementation of the business plan and propose
remedial measures.

Functions and tasks of business staff:

Direct advertising propaganda, introducing goods, who meet the
requirements of the customers, who reflect the preferences, opinions and
suggestions of customers.

Planning and implementation of the assigned revenue targets.
Receive information about the needs of customers, shipping proposal.
Submit reports on the results of the business weekly, monthly, report the
results program, the stipulated agreement.

Project Department: responsible for the company's projects with partners
domestic and international, make a plan, consider something is likely to occur:
favorable or difficult to carry out the project from which to make decisions that
implemented project or not. Project Department includes the following divisions:

Planning department: This department make plans to operate the export-

Delivery department: To receive input raw materials for production and
prepare export and import procedures.

1.5. Operating status of the company in recent years

From the table above, we can see in the recent years, the net revenue from
sales and services of the company through a period 2011 - 2014 tended to rise faster
and slowed in 2014. This suggests the business activities of the company is
progressing very well, especially after 2011. We can relized 2011 as a year of
unsuccessful of the company when net profit from operating activities of the
company only reach nearly 18 million VND, equal about 0.005% of the revenue

that year. However, in 2012, the company's profit has soared to nearly 6.5 billion
VND, reaching 1,363% of the revenue and stabilized in the next years. The reason
for this is because in 2011 the financial cost specifically the interest expense was
higher than the other years, which means that companies have to pay more for the
bank's debt.
Achieve such positive results is due to the relentless effort of the whole
company. However, Tan An Company Limited has encountered some problems,
difficulties, obstacles that reduce the operational efficiency of the company in 2014.
It should be overcome.
Finally, we can say the period 2012 - 2014 was a period of recovery and
strong growth of Tan An Company Limited compared to earlier periods.

Chapter 2: Report about business activities of Tan An company
2.1. Overview about imports activities of the company
2.1.1. Import turnover
Import-business is the main activity of Tan An Company Limited. Import
turnover of the company has continually increased over the years, which is the
result of the expansion of the business market, expand business relations with
partners, improve the quality of goods.

From the table above we can see that the import of Tan An Co., Ltd. always
tends to increase in recent years: In 2011 the total import turnover reached US $
1.991.000 , and in 2012, it increased to 2.221.100 USD equal to 11.55% increase
compared to 2011. In 2013, imports reached USD 2.443.300 equal to 10.01%
increase compared to 2012. Overall, the growth of imports relative stable, with
average growth rate of 10.5% / year. Particularly in 2011, the increase of import
turnover is much higher than the other years due to the expansion of the business
sector and the increase of new foreign partners. In 2012, growth in import decreased
compared to 2011 due to consumption of these new products is not high, the
inventory of 2011 is large.
Annually, the company based on the growth of domestic consumption,

predicts the development trend of the market domestic and internationally to set out

plans to import in volume, structure, the most appropriate time to import, the
number of goods in a single contract ... Hence, the growth in imports also shows the
growth of the consumption of goods in domestic and the increase in the import
activities of the enterprise.
2.1.2. The structure of import goods
Currently, the company imports more than 10 different types of wood,
including ironwood imported from Cameroon; " Sua", "Keo", "Camxe" imported
from Laos and Cambodia; oak wood imported from Europe; pine wood imported
from Laos and Indonesia.

From the table above, we can see that pinewood has the highest proportion of
the total import value of the company, its always remained from 58.5% to 66.6%.
With the other types of wood, it accounted from 4.3% to 7.3%. With "keo" wood,
because inventories of this goods from 2012 are high, and the profit of this wood is
not high compared to other woods so the company do not import this type of wood
in 2013. The import propotion of the other woods are maintained from 12.7% to
14.5%.

2.1.3. Import market structure
In the process of formation and development, Tan An Co., Ltd always trying
to expand the relationship with wood suppliers to diversify supplies. Currently the
company imports wood from many countries, in which Cambodia, Indonesia,
Myanmar, Laos is the main import markets.

Through Table 2.3, we can see that Laos is the largest import market of the
company, this is the market where the company set up operations for a long time to
import wood. Import turnover of the company from this market are high, from
66.5% to 75.4%.
About the Cambodian market, the import turnover of this market increased
steadily over the years. Proportion of imports from this market increased strongly
from 6.7% in 2011 to 19% in 2013. This is a market that the company will actively
exploited in the future.

Cameroon is also an important market of the Company. The proportion of
this market fluctuated from 7.7% to 9.6%. In 2013, the company does not import
from this market because inventories remain from 2012.
The other markets where the company has established relations may be
mentioned as Myanmar, Congo, Central African Republic accounted for an average
of 5.5% per year.
2.2. Orientations to improve business efficiency of the company until 2020
2.2.1 Import orientation of the company until 2020
In recent years the company has achieved some successes. However, to
maintain the position in the market, while promoting the development, the company
has plans to promote innovative business structures, innovative approaches to
provide clear orientation to import and satisfy the needs of customers, built up the
reputation with consumers and can expand business scale to lots of new markets
which potential and ensure business efficiency, profitability. To meet the increasing
demands of the market and also to increase the reputation of the company in order
to bring high profits, the company has a new strategy for the coming period.
In its import orientation till 2020, the company focused on partners in Africa
such as South Africa, Cameroon, Nigeria, ...
In order to serve higher and higher demand, which requires quality, diverse
samples, diffirent customers, Tan An Co., Ltd. is gradually change the import
proportion between types of wood, increase the import ratio of Camxe wood, "Keo"
wood to serve customers with average income. At the same time, the company also
increase imports oak wood to serve customers with high income, have the demand
for high quality wood products, expensive price.
The company conducted market expansion, consolidation, maintained
existing markets in the region to ensure the consumption of goods. Simultaneously,
seeking new customers for create proactive in business as well as the flexibility to
keep up with the fluctuation of the market economy. According to the plan in 2014,

the company tries to increase the value of imports up to12% compared to 2013,
reaching 55.88 billion VND and aims to reach 90.4 billion VND in 2020.
2.2.2 Orientation to improve business efficiency of the company
About the relations with foreign partners: The company develops relationships
with traditional partners, strengthening the role of wholesaler in Vietnam through
the strict implementation of the obligations in import operations. Thereby, the
company enlisted the help of providers about finance, organizational management
skills, especially participation in the global marketing programs. Besides, the
company has finding some new business partners, towards product diversification
business.
The activity of consumption of products in domestic: Besides strengthening the
relationships with distributors or retail stores, the company established a number of
stores which sells their products in Hanoi and other cities, established a number of
branches in big cities. Development trends of the company is focused on customers:
enterprises, public buildings, ...
The company started exports of rattan products, handicraft items to foreign
markets. This is a beginning as well as complementary activities to create foreign
currency for import operations, ensuring that operations are not interrupted.
2.3 Solutions to improve business efficiency of the company until 2020
There are many factors that cause difficulties affecting the company's
operations, such as rapid change of technological machinery, the entry of foreign
companies into Vietnam lead to more and more intense competition , especially in
the import of wood materials. The export-import mechanism after 2013 has changed
and it affected the company's operations.
The limitations of the company in recent years need to devise appropriate
measures, innovative production and business activities suitable with the policies
and regulations issued by the State to maintain and develop in competition. Here are
some specific solutions:

2.3.1 Reduce import costs

Figure 2.2 shows that the growth rate of revenue from business operations of
the Company importing wood in 2009 was 23%. In 2010, this index increased
sharply to 34%. However in 2011, 2012, 2013 the growth of revunue has shown
signs of abating.

It can be seen that in the past few years, the company's sales increased
steadily but the profit is not high. To improve the efficiency of business, the
company should have the practical measures to reduce the cost of doing business,
which should focus on the cost of importing wood, wood's storage, selling
expenses, financial expenses.
- The cost of importing wood: to reduce import expenditure, the company
should performed well the import market research and implement procedures
exactly to import wood. Through market research, the company will find a suitable

materials suppliers, import prices are reasonable and the beneficial import
conditions. The organization of work need staffs with expertise and experience. The
inspection of imported wood products must perform carefully to detect failures,
errors promptly. The The reception of goods, loading cart, make customs procedures
... should be done expeditiously in order to reduce inventory costs as well as the
cost of shipping.
- The cost of warehousing, timber transportation: The reduction of inventory
costs depend on the planned imports as well as promoting the consumption of
wood. The quantity of imported wood need to calculate exactly, avoiding the
excessive import led to the increase of storage costs, rent warehouse. The delivery
plan is also very important because the company's market spread to the provinces,
particularly in markets such as Da Nang, Ho Chi Minh ... In addition, the company
also needs to promptly handle customer orders, need to have better coordination
between the sales department and inventories for the shipment occurs quickly and

more precisely.
- Financial expenses: Financial expenses of the company mainly come from
the borrowing costs. Companies need to build good relationships with multiple
banks to ensure capital for import activities. Loan plan must be linked to the
business plan, plans to import must under each stage of the company. Companies
also need to take measures to speed up the flow of capital as resolved inventories,
opening points to sale faster ... Besides, the company needs to keep an eye on the
exchange rates. This will enable the company to calculate the time appropriate to

2.3.2 Support for information technology in the enterprise
Nowadays information technology plays an important role for businesses in
the process of international economic integration, decision-making, datas are based
on the development and application of information technology. Information
technology help enterprises capture the business opportunities is essential because
the application of information technology in Vietnam now is very weak. In order to
remove disadvantages, the State have provided some regulations and solutions to
support the application of information technology.
Firstly, the company should have long-term strategy and each phased has
specific resources of financial and materials, human resources and information
technology applications for each type of enterprise, each enterprise associated with
strategic development of each sector and specifically linked to the strategic
development of information technology in the country.

Secondly, the company must create a favorable legal environment, policy
mechanisms, suitable promotion policy on each specific field of information
technology, promote the enterprise application and deployment of the advantages of
information technology.
Thirdly, the company need to take measures, advocacy programs, encourage
efficiency to raise awareness and practical benefits of the information technology in
the activities of the enterprise.
Finally, the company needs to take measures to attract direct investment and
the participation of foreign companies in projects of information technology
applications in the enterprise. This is an important measure to build large capital,
mobilization of human resources with high quality, experienced to the development
of the company.
