5. Những kết luận mới của luận án:
Luận án đã đạt được những kết quả và đóng góp mới như sau:
-Thứ nhất, Hệ thống hóa và làm rõ thêm những vấn đề lý luận cơ bản về tập
đoàn kinh tế, quá trình hình thành phát triển, các nguyên tắc tổ chức và hoạt động,
các mối liên kết và các đặc điểm của tập đoàn kinh tế để làm cơ sở cho việc tiếp
cận nghiên cứu về hoạt động tài chính và tái cơ cấu hoạt động tài chính của tập
đoàn kinh tế.
- Thứ hai, Làm rõ những vấn đề lý luận cơ bản về hoạt động tài chính và tái cơ
cấu hoạt động tài chính doanh nghiệp và tập đoàn kinh tế, những điểm khác biệt
giữa hoạt động tài chính của doanh nghiệp và hoạt động tài chính của tập đoàn
kinh tế; Các chỉ tiêu đánh giá hoạt động tài chính và tái cơ cấu hoạt động tài chính
của doanh nghiệp và tập đoàn kinh tế; Các nhân tố ảnh hưởng đến hoạt động tài
chính và tái cơ cấu hoạt động tài chính của doanh nghiệp và tập đoàn kinh tế làm
cơ sở phương pháp luận cho việc xem xét, đánh giá thực trạng hoạt động tài chính
của Tập đoàn Công nghiệp Than – Khoáng sản Việt Nam.
- Thứ ba, Hệ thống hóa và làm rõ nội dung các hoạt động tái cơ cấu tài chính
của một số TĐKT ở trong nước và nước ngoài, từ đó rút ra các bài học kinh
nghiệm có thể tham khảo trong tái cơ cấu hoạt động tài chính của các TĐKT Việt
Nam nói chung, trong đó có Tập đoàn Công nghiệp Than – Khoáng sản Việt Nam.

- Thứ tư, Phân tích, đánh giá thực trạng hoạt động tài chính của Tập đoàn Công
nghiệp Than – Khoáng sản Việt Nam trong giai đoạn từ năm 2006 – 2013, bao
gồm các hoạt động: huy động vốn, đầu tư sử dụng vốn, phân phối kết quả kinh
doanh, qua đó làm rõ những kết quả đạt được cũng như những tồn tại, bất cập và các
nguyên nhân chủ quan, khách quan trong hoạt động tài chính của Tập đoàn Công nghiệp
Than – Khoáng sản Việt Nam.

Thứ năm, Đã đề xuất hệ thống 7 nhóm giải pháp tái cơ cấu hoạt động tài chính
của Tập đoàn TKV, bao gồm: (1) Nhóm giải pháp tái cơ cấu hoạt động tài chính
gián tiếp thông qua việc tổ chức sắp xếp lại các doanh nghiệp và tái cơ cấu hoạt
động kinh doanh của các doanh nghiệp trong Tập đoàn; (2) Nhóm giải pháp cơ cấu
lại danh mục đầu tư, thoái vốn đầu tư ngoài ngành và đẩy mạnh cổ phần hóa
DNNN; (3) Nhóm giải pháp huy động vốn với cơ cấu hợp lý nhằm đáp ứng kịp
thời, linh hoạt nhu cầu vốn đầu tư với chi phí thấp, giảm thiểu rủi ro, phù hợp với
đặc điểm của Tập đoàn và nâng cao hệ số an toàn tài chính; (4) Nhóm giải pháp
khơi thông dòng vốn thúc đẩy sự vận động của dòng tiền để nâng cao hiệu quả sử
dụng vốn; (5) Giải pháp củng cố, hoàn thiện và tăng cường quản lý, sử dụng hợp lý
các quỹ tập trung của Tập đoàn; (6) Nhóm giải pháp tăng cường các mặt công tác
quản trị để nâng cao hiệu quả kinh doanh và hiệu quả sử dụng vốn nhằm tăng tích
lũy vốn chủ sở hữu; (7) Giải pháp hoàn thiện cơ cấu tổ chức và các công cụ thực
hiện chức năng chủ sở hữu và quản lý vốn nhà nước đầu tư tại Tập đoàn. Đồng
thời đã đánh giá tác động của việc áp dụng các giải pháp đã đề xuất.
Thứ sáu, Đề xuất một số khuyến nghị đối với Nhà nước về hoàn thiện khung
pháp lý TĐKT nhà nước cũng như chính sách đối với ngành công nghiệp khai
khoáng nói chung là những lĩnh vực liên quan trực tiếp đến Tập đoàn TKV.

5. The new conclusions of the doctoral thesis:
The thesis has achieved results, and new contributions are as follows:
- First, systematized and clarified basic theoretical issues of Economic
Corporation, the formation and development, the principle of organization and
operation, the links and the characteristics of Economic Corporation to provide a
basis for approaching research on financial operations and restructuring financial
activities of Economic Corporation.

- Second, Clarified the basic theoretical issues of financial operations and
restructuring corporate finance activities and Economic Corporation; the
differences of financial activities between an Enterprise and Economic
Corporation. The evaluation criteria of financial activities and the restructuring of
financial activities of Enterprise and Economic Corporation. Factors affecting
financial activities and restructuring the financial activities of Enterprise and
Economic Corporation as a basis for the methodology to review, assess the real
situation of the financial activities of Vietnam National Coal-Mineral Industries
Holding Corporation Limited.
- Third, systematized and clarified the content of financial activities
restructuring in some of Economic Corporation in local and abroad, from which it
can find reference lessons learned from the restructuring financial activities of
Economic Corporation in Vietnam in general, including Vietnam National CoalMineral Industries Holding Corporation Limited.
- Fourth, analysis and assessment of the real situation of financial activities of
Vietnam National Coal-Mineral Industries Holding Corporation Limited in the
period since 2006 - 2013, includes the following activities: raising capital,
investment capital, distribution profits and losses results. Thereby clarifying the


achievements as well as shortcomings, inadequacies and the subjective and
objective reasons for the financial activities of Vietnam National Coal-Mineral
Industries Holding Corporation Limited.
- Fifth, proposal 7 group feasible solutions for the restructuring financial
activities of Vietnam National Coal-Mineral Industries Holding Corporation
Limited. It includes (1) Group solutions for restructuring financial activities
indirectly through re-organization and restructuring business activities of
enterprises in Vietnam National Coal-Mineral Industries Holding Corporation
Limited. (2) Group solutions to restructure the portfolio, withdraw investment
capital for non-core businesses and accelerate the equitization State-owned
enterprises. (3) Group solutions for raising capital with the reasonable structure to

timely and flexibly meet the demand of funding for investment with low capital
costs, minimize risks by characteristics of Vietnam National Coal-Mineral
Industries Holding Corporation Limited and enhance factor of financial safety. (4)
Group solutions to unfreeze capital flows to promote the movement of cash flow
thus enhancing capitals using efficiency. (5) The solution to strengthen and
improve management, reasonable using the centralized funds of Vietnam National
Coal-Mineral Industries Holding Corporation Limited. (6) Group solutions to
strengthen Corporate governance to improve effectiveness and efficiency of
business and to use the capital to increase equity accumulation. (7) The solution to
perfect organizational structure and tools to perform the function of owners and
management state-owned capital in Vietnam National Coal-Mineral Industries
Holding Corporation Limited. Also, it has made an assessment of an impact on the
application of proposed solution.
- Sixth, propose some recommendations to the Government on perfecting the
legal framework for State-owned Economic Corporation as well as policies for the
Mining industry in general which are area directly related to the operation of
Vietnam National Coal-Mineral Industries Holding Corporation Limited.
